How Chapter 11 Bankruptcy Works

Filing a Chapter 11 petition immediately triggers an automatic stay, halting most collection actions: foreclosure, repossession, wage garnishment, and pending lawsuits. That breathing room is often what makes reorganization possible. In most cases, the debtor remains a debtor in possession, keeping control of assets and continuing to operate while developing a plan of reorganization. Chapter 13 is limited to individuals with regular income and debts below a statutory cap. Subchapter V: A Streamlined Path for Small Businesses

The Small Business Reorganization Act of 2019 created Subchapter V of Chapter 11 to give eligible small business debtors a faster, less expensive route through reorganization. For cases filed on or after June 21, 2024, the debt limit is $3,424,000 in aggregate noncontingent, liquidated secured and unsecured debt. To qualify, at least half of the debtor’s debt must arise from commercial or business activity.

Subchapter V differs from a traditional Chapter 11 in several meaningful ways. A trustee is appointed not to take control of the business but to help facilitate a consensual plan. There’s no creditors’ committee, no U.S. Trustee quarterly fees, and the confirmation process is generally faster. Chapter 11 generally carries higher legal and administrative costs than Chapter 7 or Chapter 13. The documentation is more extensive, negotiations with creditors can be involved, and most debtors must file periodic operating reports detailing income and expenses throughout the case.
